These Terms of Service and Software Licence Agreement (“Terms”) govern your use of the ExciteIQ website, products, software, documentation, downloads, services, and related content.
By accessing this website, purchasing a product, downloading software, activating a licence, or using any ExciteIQ product, you agree to be bound by these Terms. If you do not agree with these Terms, you must not purchase, download, install, activate, or use any ExciteIQ software.

2. Definitions
In these Terms:
“Website” means the ExciteIQ website, including www.exciteiq.com and any related pages, checkout pages, product pages, documentation, or support areas.
“Software” means any ExciteIQ downloadable product, NinjaTrader indicator, drawing tool, strategy tool, trade-management utility, automated or semi-automated execution tool, add-on, update, script, file, installer, licence-controlled product, or related software component.
“Product” means any Software, digital download, licence, subscription, documentation, video, training material, or other digital item supplied by ExciteIQ.
“User”, “you”, or “your” means the person or business accessing the Website, purchasing a Product, downloading Software, activating a licence, or using any ExciteIQ material.
“Licence” means the limited permission granted to you to install and use the Software in accordance with these Terms.
“Content” means all text, images, graphics, screenshots, videos, logos, product descriptions, documentation, code, software files, designs, demonstrations, examples, and other materials made available by ExciteIQ.
3. Eligibility
You must be at least 18 years old to purchase, download, install, activate, or use ExciteIQ Software.
By purchasing or using any Product, you confirm that you are legally capable of entering into a binding agreement and that your use of the Product is lawful in your country, state, or jurisdiction.
You are responsible for ensuring that your use of any trading platform, broker account, financial instrument, data feed, exchange, or automated trading functionality complies with all laws, regulations, broker rules, exchange rules, and platform terms that apply to you.
4. Nature of ExciteIQ Products
ExciteIQ provides software tools for technical analysis, charting, trade planning, position sizing, trade management, and, where applicable, automated or semi-automated trade execution.
ExciteIQ does not provide financial advice, investment advice, trading advice, trading signals, account management, broker services, managed trading services, copy trading services, or any regulated financial product or service.
Any Software supplied by ExciteIQ is a technical utility only. The Software may assist with calculations, chart displays, alerts, drawing tools, order placement, order modification, trade management, or automation based on user-selected settings. The Software does not determine whether any trade is suitable, advisable, profitable, or appropriate for you.
All trading decisions, software settings, order parameters, position sizes, entries, stops, targets, trailing stops, exits, alerts, account selections, broker connections, and risk settings are selected, reviewed, and controlled solely by the user.
5. Software Licence
Subject to your payment of the applicable fee and your continued compliance with these Terms, ExciteIQ grants you a limited, revocable, non-exclusive, non-transferable licence to install and use the Software for your own personal or internal business trading-related use.
Unless otherwise stated on the product page, the Licence is issued to the original purchaser only.
You may not:
copy, share, sell, rent, lease, lend, sublicense, distribute, resell, publish, upload, or transfer the Software or Licence to any other person or organisation;
reverse engineer, decompile, disassemble, modify, adapt, translate, bypass, tamper with, or attempt to derive the source code of any compiled Software;
remove, alter, or obscure any copyright notice, branding, licence control, security feature, or proprietary notice;
use the Software to create a competing product or derivative product;
make the Software available through file-sharing services, public repositories, forums, groups, private communities, or unauthorised download links;
use another person’s licence key, machine ID, account, or activation details;
attempt to bypass any licence activation, machine binding, usage restriction, or payment requirement.
All rights not expressly granted to you are reserved by ExciteIQ.
6. Licence Activation and Device Binding
ExciteIQ Software may require licence activation, machine identification, account verification, or other technical measures to prevent unauthorised use.
A Licence may be linked to a specific user, email address, machine ID, NinjaTrader installation, computer, or other activation identifier. Licence activation limits will be stated on the relevant product page or documentation where applicable.
If you replace your computer, reinstall your operating system, or make hardware changes that affect activation, you may contact ExciteIQ support to request a licence reset or transfer. Licence resets and transfers are not guaranteed and may be refused if we reasonably suspect misuse, sharing, resale, excessive activation attempts, or breach of these Terms.
ExciteIQ may charge a reasonable administrative fee for manual licence transfers, reactivation, or recovery work where stated on the Website or agreed with you in advance.
7. Subscriptions, One-Time Purchases, and Lifetime Licences
ExciteIQ may offer Products as one-time purchases, recurring subscriptions, lifetime licences, or other licence types.
A one-time purchase gives you the right to use the purchased Product in accordance with these Terms. It does not transfer ownership of the Software to you.
A subscription gives you access to the relevant Product for the active paid subscription period only. If your subscription expires, is cancelled, or payment fails, your access may be suspended or terminated.
A “lifetime” licence, where offered, means the lifetime of the relevant Product as maintained by ExciteIQ, not the lifetime of the purchaser, trading platform, operating system, broker connection, data provider, or any third-party service. Lifetime licences do not guarantee indefinite support, indefinite compatibility, or updates across all future versions of NinjaTrader, Windows, brokers, data feeds, or trading platforms.
8. Payments, Pricing, and Taxes
Product prices are displayed on the Website or checkout page. Prices may be shown in one or more currencies depending on the checkout provider and Website configuration.
ExciteIQ may change prices, offers, discounts, subscriptions, bundles, or licence terms at any time. Price changes will not affect purchases already completed unless stated as part of a recurring subscription.
You are responsible for providing accurate billing, contact, tax, and payment information.
Payments may be processed by third-party payment providers such as Stripe, PayPal or other payment processors. ExciteIQ does not store your full credit card or payment card details.
Applicable taxes, including VAT, GST, sales tax, or similar taxes, may be charged depending on your location, customer status, and applicable law. You are responsible for any taxes, duties, charges, bank fees, currency conversion fees, or payment provider charges that may apply to your purchase.
9. Digital Delivery
ExciteIQ Products are digital products. Delivery may be made by download link, email, licence key, account access, customer portal, or other electronic method.
You are responsible for ensuring that you provide a correct email address and that you can receive emails from ExciteIQ and its payment or delivery providers.
ExciteIQ is not responsible for delivery delays caused by incorrect email addresses, spam filters, customer email settings, payment review, payment failure, third-party platform issues, or circumstances outside our reasonable control.
10. Refunds and Cancellations
Because ExciteIQ Software is supplied as a digital download, licence-controlled digital product, or immediately accessible digital content, all sales are final once the Product has been downloaded, accessed, activated, or made available to you, unless otherwise required by law.
By purchasing a digital Product, you acknowledge that you may receive immediate access to digital content and that, where permitted by law, you may lose any right to cancel once download, activation, or digital delivery has begun.
Refunds are not provided simply because:
you changed your mind;
you no longer want the Product;
you purchased the wrong Product;
you did not read the product description, system requirements, or documentation;
you lack the necessary trading platform, broker, data feed, or technical setup;
you experience trading losses;
the Product does not match your personal trading style;
you expected trading results, profits, or performance improvements;
the Product is later discounted, bundled, or offered at a different price.
Where a Product is genuinely defective, inaccessible, or materially not as described, you should contact support@exciteiq.com with details of the issue. ExciteIQ may, at its discretion and where appropriate, provide troubleshooting support, a corrected file, replacement download, licence reset, workaround, update, or refund.
Subscription cancellations, where applicable, will take effect at the end of the current billing period unless otherwise stated. Cancelling a subscription does not automatically create a refund for amounts already paid.
Nothing in these Terms limits any mandatory consumer rights that cannot lawfully be excluded.
11. Updates, Compatibility, and Support
ExciteIQ may provide updates, fixes, improvements, or new versions of Software at its discretion.
Unless otherwise stated, updates are not guaranteed and may be limited to the same major platform version for which the Product was originally purchased, for example NinjaTrader 8.
ExciteIQ does not guarantee that any Product will remain compatible with future versions of NinjaTrader, Windows, broker software, data feeds, exchanges, third-party indicators, third-party add-ons, or other external systems.
A future platform update, operating system update, broker change, data-feed change, exchange rule change, or third-party service change may affect Product functionality. ExciteIQ is not responsible for changes made by NinjaTrader, brokers, exchanges, data providers, Microsoft, or other third parties.
Support is provided at ExciteIQ’s discretion and may be limited to installation guidance, activation issues, bug reports, and reasonable product-related queries. Support does not include trading advice, strategy design, individual trade analysis, financial advice, broker support, computer repair, platform training, or custom development unless separately agreed.
12. Automated and Semi-Automated Trading Tools
Some ExciteIQ Products may be capable of submitting, modifying, cancelling, or managing orders in a trading platform or broker-connected account based on user settings, user actions, chart conditions, alerts, buttons, rules, or configurations.
Automated and semi-automated trading carries additional risks. Orders may be submitted incorrectly, duplicated, delayed, rejected, partially filled, filled at unexpected prices, not filled, modified unexpectedly, or affected by market conditions, broker rules, platform behaviour, data issues, connectivity problems, latency, hardware issues, user configuration errors, or other factors.
You are solely responsible for checking all settings before enabling any live trading functionality. This includes, without limitation, account selection, instrument selection, order quantity, position size, tick value, stop distance, target distance, risk amount, order type, entry method, OCO settings, ATM settings, trailing stop rules, strategy settings, and automation status.
You must test all Software thoroughly in simulation, replay, demo, or other non-live environments before using it with a live trading account.
You should not use automated or semi-automated Software with a live account unless you fully understand the Product, the platform, the broker connection, the order types, the risk settings, and the possible consequences.
ExciteIQ is not responsible for trading losses, missed profits, execution errors, order errors, broker errors, platform errors, user configuration errors, or any financial consequences arising from the use or misuse of automated or semi-automated Software.
13. Trading Risk Disclosure
Trading financial instruments involves substantial risk of loss and may not be suitable for all individuals.
Futures, forex, CFDs, options, stocks, cryptocurrencies, and other financial instruments may involve leverage, rapid price movement, liquidity risk, execution risk, margin risk, and the possibility of losing more than the amount initially committed.
Only risk capital should be used for trading. Risk capital is money that you can afford to lose without affecting your financial security, lifestyle, or essential commitments.
Past performance is not indicative of future results.
Any examples, screenshots, videos, demonstrations, back-tests, hypothetical results, simulated results, or trade scenarios shown by ExciteIQ are provided for product demonstration and educational purposes only. They are not financial advice, trading advice, investment advice, or a recommendation to buy, sell, hold, or trade any financial instrument.
Hypothetical, simulated, demonstration, or back-tested results have inherent limitations. They do not represent actual trading and may not account for liquidity, slippage, commissions, spreads, order queue position, execution delays, rejected orders, partial fills, platform behaviour, broker rules, emotional decision-making, or other real-world trading conditions.
No representation is made that any user, trader, account, strategy, configuration, or Product will achieve profits, avoid losses, or produce results similar to any example shown.
14. No Financial Advice or Regulated Services
ExciteIQ is not authorised or regulated as a financial adviser, investment adviser, broker, dealer, commodity trading adviser, asset manager, fund manager, signal provider, or managed trading service.
Nothing on the Website, in the Software, in documentation, in videos, in support communications, or in any ExciteIQ material should be interpreted as financial advice, investment advice, trading advice, tax advice, legal advice, or a recommendation to trade.
You are solely responsible for your own trading decisions and should seek independent professional advice where appropriate.
15. Third-Party Platforms, Brokers, and Services
ExciteIQ Products may be designed for use with third-party platforms, including NinjaTrader, brokers, data providers, exchanges, operating systems, payment processors, licensing systems, or other external services.
ExciteIQ is not affiliated with, endorsed by, or responsible for NinjaTrader, any broker, exchange, data provider, payment processor, or other third-party service unless expressly stated.
Third-party platforms and services may change, fail, restrict access, alter functionality, modify APIs, change pricing, introduce bugs, suspend accounts, reject orders, or become unavailable. ExciteIQ is not responsible for any loss, damage, interruption, incompatibility, or trading consequence caused by third-party platforms or services.
You are responsible for complying with all third-party terms, broker agreements, exchange rules, platform rules, and data-provider terms that apply to you.
16. User Responsibilities
You agree that you are responsible for:
using the Website and Software lawfully;
providing accurate purchase, account, and contact information;
keeping licence keys, downloads, and account details secure;
installing and configuring Software correctly;
reading product documentation before use;
testing Software before live trading;
checking all calculations, settings, order sizes, stops, targets, and account selections;
monitoring automated or semi-automated trading activity;
maintaining your own backups, trading records, platform settings, and risk controls;
ensuring that your computer, platform, broker connection, and data feed are functioning correctly.
You agree not to misuse the Website, interfere with its operation, attempt unauthorised access, introduce malware, scrape content without permission, copy protected material, or use ExciteIQ Products in breach of these Terms.
17. Intellectual Property
All Website content, Product content, Software, code, designs, documentation, logos, graphics, screenshots, videos, text, branding, product names, and related materials are owned by ExciteIQ or its licensors and are protected by copyright, trade mark, database rights, and other intellectual property laws.
Purchasing a Product does not transfer ownership of the Software or Content to you. You receive only the limited Licence described in these Terms.
You may not reproduce, publish, distribute, modify, create derivative works from, publicly display, commercially exploit, or otherwise use ExciteIQ Content without prior written permission, except as expressly permitted by these Terms.
18. Acceptable Use
You must not use the Website or Software:
for any unlawful, fraudulent, harmful, abusive, or unauthorised purpose;
to infringe intellectual property rights;
to interfere with the Website, licensing systems, payment systems, or Software security;
to bypass licence restrictions, activation controls, payment requirements, or access controls;
to distribute malware or harmful code;
to resell, share, or commercially exploit the Software without written permission;
to misrepresent ExciteIQ, its Products, or your relationship with ExciteIQ.
ExciteIQ may suspend or terminate access if we reasonably believe you have breached these Terms.
19. Disclaimer of Warranties
The Website, Software, Products, downloads, documentation, and Content are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, ExciteIQ excludes all warranties, representations, conditions, and guarantees, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, compatibility, uninterrupted operation, error-free operation, trading performance, profitability, or non-infringement.
ExciteIQ does not warrant that:
the Software will meet your requirements;
the Software will be suitable for your trading style;
the Software will operate without interruption or error;
all defects will be corrected;
outputs, calculations, signals, displays, orders, or trade-management functions will be accurate or reliable;
the Software will remain compatible with future third-party updates;
the use of the Software will reduce risk, prevent losses, or improve trading results.
20. Limitation of Liability
To the fullest extent permitted by law, ExciteIQ shall not be liable for any direct, indirect, incidental, special, consequential, punitive, exemplary, or economic loss or damage arising from or connected with your use of, or inability to use, the Website, Software, Products, Content, downloads, licence systems, or third-party services.
This includes, without limitation:
trading losses;
loss of profits;
missed trading opportunities;
loss of capital;
order execution errors;
incorrect position sizes;
incorrect stop or target placement;
platform or broker failures;
data-feed issues;
connectivity failures;
software errors;
configuration errors;
loss of data;
business interruption;
loss of goodwill;
payment processing issues;
third-party service failures.
If ExciteIQ is found liable for any claim arising out of or related to these Terms, the Website, or any Product, ExciteIQ’s total aggregate liability shall be limited to the amount you paid for the specific Product giving rise to the claim during the twelve months preceding the claim, unless a different limitation is required by law.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any mandatory consumer rights that cannot legally be excluded.
21. Indemnity
You agree to indemnify and hold harmless ExciteIQ, its owners, directors, employees, contractors, suppliers, and affiliates from and against any claims, losses, liabilities, damages, costs, and expenses arising from:
your breach of these Terms;
your misuse of the Website or Software;
your trading activity;
your use of automated or semi-automated trading functionality;
your violation of third-party platform, broker, exchange, or data-provider terms;
your infringement of intellectual property or other rights;
your unlawful or unauthorised use of any Product.
22. Termination
ExciteIQ may suspend or terminate your access to the Website, Software, support, licence activation, downloads, or related services if:
you breach these Terms;
payment is reversed, disputed, refunded, charged back, or not received;
you share, resell, copy, or misuse a Licence;
you attempt to bypass licensing or security controls;
your use creates legal, technical, security, or reputational risk for ExciteIQ;
we are required to do so by law or third-party provider requirements.
Termination does not entitle you to a refund unless required by law. Sections relating to intellectual property, payment obligations, licence restrictions, disclaimers, limitation of liability, indemnity, governing law, and any other provisions intended to survive termination shall continue to apply after termination.
23. Product Changes and Discontinuation
ExciteIQ may modify, update, suspend, discontinue, replace, or withdraw any Product, feature, download, licence type, support service, price, or Website content at any time.
Where reasonably possible, ExciteIQ will aim to avoid unnecessary disruption to existing users, but we do not guarantee that any Product or feature will remain available indefinitely.
24. Privacy and Personal Data
ExciteIQ respects your privacy and handles personal data in accordance with applicable data protection laws.
We may collect and process information such as your name, email address, billing details, order history, licence information, support communications, IP address, device or activation identifiers, and Website usage information.
We use this information to process orders, deliver digital Products, manage licences, provide support, prevent fraud, improve the Website, comply with legal obligations, and communicate with you about your purchases.
Payment information is processed by third-party payment providers. ExciteIQ does not store your full payment card details.

Updated Terms will be posted on the Website with a revised “Last updated” date. Changes will take effect when posted unless otherwise stated.
Your continued use of the Website, Software, or Products after changes are posted means you accept the updated Terms.
If you do not agree to the updated Terms, you must stop using the Website and Software.
27. Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without ExciteIQ’s prior written consent.
ExciteIQ may assign or transfer its rights and obligations under these Terms as part of a business transfer, restructuring, sale, merger, or operational change.
28. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.
The invalid or unenforceable provision will be interpreted, where possible, in a way that best achieves its intended commercial purpose while remaining lawful and enforceable.
29. No Waiver
If ExciteIQ does not enforce any provision of these Terms immediately, this does not mean that we waive the right to enforce that provision later.
30. Entire Agreement
These Terms, together with any product-specific terms, Risk Disclosure, Privacy Policy, Cookie Policy, and any checkout terms presented at the time of purchase, form the entire agreement between you and ExciteIQ regarding your use of the Website and Products.
31. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have jurisdiction over any dispute arising out of or in connection with these Terms, the Website, or any ExciteIQ Product, subject to any mandatory consumer rights that may apply in your country of residence.
